Private Equity and Joint Venture

Private Equity is a new way to invest and to own various business in Nepal. In this way to invest or to own the business, the business are compulsion to register under the Securities Act, 2007 and Specialized Investment Fund Regulations, 2075 (2019) which included the compulsion to register fund manager, unit holders, fund registration to operate funds including  private equity funds, Venture Capital Funds, hedge funds and others. Funds are focused on investing in initial phase of operation including Small and Middle sized Enterprises. Fund manager registration requires paid up capital unto Rs. 2 crore and fund registration requires fund capital Rupees Fifteen crore rupees. The rules regulates the eligible investors including Bank and Financial Institution, Insurance companies, Funds including pension fund, welfare funds, provident funds, bilateral or multinational corporate investors, any companies having objective of making investments, Non-Resident Nepalese and Nepalese citizens and others. 
Our practice area in private equity and joint venture includes; fund manager and unit holders, operation of funds including private equity funds, venture capital funds, hedge funds and other,  investors, corporate compliances and investment compliances , fund’s prospectus, contracts, employment policy, finances and Intellectual property rights etc. 
Our services in private equity and joint venture includes; (i) advises on matters of  registration of fund manager, unit holders and fund, and eligibility of investors, (ii) Investment approvals and consulting on compliance matters relating to risk of cancellation of register funds, (iii) draft and review investment agreements, constitution of funds, prospectus and contracts related to it.
